Tulloch Consulting Limited ("Tulloch", "we", "us") is a business consulting firm registered in Hong Kong, with principal offices at 12/F, Champion Tower, 3 Garden Road, Central, Hong Kong. We provide consulting services in the areas of profit improvement, knowledge management, and stakeholder communication strategy.

2. Website Use

4. Enquiries and Pre-Engagement Communications

Submitting an enquiry through this website does not create a contractual relationship between you and Tulloch. Pre-engagement conversations and proposals are conducted on a without-prejudice basis.

Any information you share during an initial enquiry will be handled in accordance with our Privacy Policy. We will not disclose such information to third parties without your consent.

5. Consulting Engagement Terms

All consulting engagements are governed by a separate written engagement letter or services agreement signed by both parties. In the event of any conflict between these website terms and the terms of an engagement agreement, the engagement agreement shall prevail.

Fees and payment

Fees are as set out in the applicable engagement letter. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. Late payments may be subject to interest at the rate of 1.5% per month on the outstanding balance.

Scope and deliverables

The scope of each engagement is defined in the engagement letter. Work outside the agreed scope requires a written amendment. Tulloch will advise the client promptly if circumstances arise that may affect the scope or timetable.

Cancellation

Either party may terminate an engagement by giving 14 days' written notice. In the event of termination, the client shall pay for all work completed to the date of termination at the pro-rata rate agreed in the engagement letter.

6. Intellectual Property

All content on this website, including text, design, and structure, is the intellectual property of Tulloch Consulting Limited or its licensors. No reproduction or redistribution is permitted without prior written consent.

Deliverables produced under a consulting engagement become the property of the client upon full payment of all fees due under the relevant engagement. Tulloch retains ownership of any methodologies, frameworks, tools, or know-how used in delivering the engagement, whether or not incorporated into deliverables.

Where deliverables incorporate Tulloch methodologies, the client receives a non-exclusive licence to use those deliverables for their own internal purposes.

7. Confidentiality

Both parties agree to treat as confidential any information disclosed by the other party in connection with an engagement that is marked as confidential or that a reasonable person would consider confidential given its nature.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by applicable law or a competent authority.

8. Limitation of Liability

To the fullest extent permitted by applicable Hong Kong law:

• Tulloch shall not be liable for any indirect, consequential, or incidental loss arising from use of this website or from any consulting engagement
• Tulloch's total liability under any engagement shall not exceed the fees paid by the client under that engagement
• Tulloch does not exclude liability for fraud or for death or personal injury caused by negligence

Consulting recommendations are based on information available at the time of engagement. Outcomes depend on implementation and on factors outside Tulloch's control. Tulloch makes no representation as to the outcome of any recommendations made.

These terms and any disputes arising from use of this website or from consulting engagements (where not otherwise specified in the engagement letter) are governed by the laws of Hong Kong SAR. Both parties submit to the non-exclusive jurisdiction of the courts of Hong Kong SAR.

We may update these terms from time to time. The date at the top of this document reflects the most recent revision. Continued use of this website following any update constitutes acceptance of the revised terms.
